Equipment House GA votes on works and contracts concluded between company and relevant parties

The Board of Directors of Scientific and Medical Equipment House Company invited its shareholders to attend the Ordinary General Assembly Meeting (First Meeting) for 2023 determined to be held on (19:30) PM on Thursday, 25.05.2023, through modern technology means.

Agenda of the Ordinary General Assembly Meeting

–              Voting on the works and contracts concluded between the company and Rawabi Marketing International Company, in which the members of the Board of Directors Basil Saud Al-Arifi, Bandar Saud Al-Arifi, Barakat Saud Al-Arifi and Bashir Saud Al-Arifi have a direct relationship with it, in exchange for renting the company’s building located on Prince Abdulaziz bin Jalawi Street in Sulaymaniyah with Rawabi International Marketing Company without preferential conditions. The contract includes maintenance and operation of the building, with a total amount of SAR 864,000 during the year 2022.

According to Article (35) of the Memorandum of Association of the Company, the Ordinary General Assembly Meeting shall be valid if attended by shareholders representing at least one-third of the capital. If the required quorum for holding this meeting is not present, a second meeting shall be held after one hour from the expiry of the time specified for holding the first meeting and the second meeting shall be valid regardless of the number of shares represented therein.

Each shareholder, who is registered in the shareholders register of the Company at the Depository Center (Edaa) at the end of the trading session preceding the General Assembly Meeting, shall have the right to attend the Assembly according to the laws and regulations.

–              Shareholders registered in Tadawulaty services will be able to vote remotely on the agenda items of the Assembly, starting from (01:00) AM on Sunday 21.05.2023 until the end of the time specified for holding the Assembly, and registration and voting in Tadawulaty services will be available and free of charge to all shareholders.
