Maadaniyah opens nomination for BOD ‎membership

National Metal Manufacturing and Casting Co. announced to its shareholders that it has opened the door for nomination for membership of the Board of Directors for the company’s new session for a period of three years, starting from February 19 until March 18, when the candidates will be elected at the company’s ordinary general assembly meeting.

Candidacy for board membership will be in accordance with the controls stipulated in the Companies Law and Corporate Governance Regulations issued by the Capital Market Authority, in addition to the company’s policies and criteria for a candidate for board membership approved by the company’s general assembly, provided that all the following documents are attached to the candidacy application:

1- Fill out Form No. (1) – in PDF format – attached with a resume.

2- Filling out and signing the CV form (Form 3 previously) – in PDF and WORD formats – issued by the Capital Market Authority for nomination to the Board of Directors.

3- A clear copy of proof of identity (national identity card for Saudis, residence permit or passport for non-Saudis).

4- If a ruling has not been issued against him preventing him from working in joint-stock companies

5- To be of good conduct and conduct

6- The approved nomination forms must be filled out completely so that the candidate’s data is submitted to the General Assembly.

The Remuneration and Nomination Committee will study the applications of the candidates received by it, based on what was stated in the Corporate Governance Regulations issued by the Capital Market Authority, which stated that among the competences and responsibilities of the Nomination and Remuneration Committee is to recommend to the Board of Directors the nomination of its members and re-nomination in accordance with the approved policies and standards. Taking into account not to nominate any person previously convicted of a breach of trust.
