Saudi Aramco Assembly Elects 10 Members to Board of Directors

The Saudi Arabian Oil Company (Saudi Aramco) disclosed on Tuesday the outcomes of its Extraordinary General Assembly Meeting (First Meeting). The assembly approved the election of members to the Board of Directors for the new session, commencing from July 1, 2024 AD, and spanning a three-year term until June 30, 2027 AD. The elected members are as follows:

  • HE Yasir O. Al-Rumayyan
  • HE Dr. Ibrahim A. Al-Assaf
  • HE Mohammed A. Al-Jadaan
  • HE Faisal F. Alibrahim
  • Mr. Andrew N. Liveris
  • Ms. Lynn L. Elsenhans
  • Mr. Mark A. Weinberger
  • Mr. Stuart T. Gulliver
  • Mr. Robert W. Dudley
  • Mr. Khalid H. Al-Dabbagh

Additionally, as per the Company’s Bylaws, the President & CEO is a member of the Board of Directors. HE Yasir O. Al-Rumayyan has been appointed by the State as the Chairman of the Board, with HE Dr. Ibrahim A. Al-Assaf serving as the Deputy Chairman.

  1. Reviewed and discussed the Board of Directors Report for the financial year ended December 31, 2023.
  2. Reviewed and discussed the Financial Statements for the financial year ended December 31, 2023.
  3. Discussed the Auditor’s Report for the financial year ended December 31, 2023.
  4. Approved the amendment of Article (16) of the Company’s Bylaws regarding the election of a temporary member of the Board.
  5. Approved the amendment of Article (18) of the Company’s Bylaws concerning the remuneration of the Board.
  6. Approved the amendment of Article (22) of the Company’s Bylaws regarding the recording of deliberations and decisions of the Board.
  7. Approved the amendment of Article (26) of the Company’s Bylaws concerning the invitation for the general assembly.
  8. Approved the amendment of Article (32) of the Company’s Bylaws concerning the agenda of the general assembly.
  9. Approved the amendment of Article (37) of the Company’s Bylaws concerning the Company’s financial statements, Board report, and the Auditor’s report.
  10. Approved the amendment of Article (41) of the Company’s Bylaws concerning the liability of Board members.
  11. Approved the amendment of Article (44) of the Company’s Bylaws concerning the rights of shareholders in filing a lawsuit against the Company or the Board.
