Nahdi Medical Company Calls for General Assembly to Discuss Interim Profits and Contracts

Nahdi Medical Company’s Board of Directors has invited shareholders to participate in the Ordinary General Assembly meeting (the first meeting), scheduled for 28th May 2024 at 06:30 pm via modern technology. The meeting will cover the following agenda:

1. Review and discuss the Board of Directors’ report for the fiscal year ending on 31/12/2023G.

2. Review and discuss the financial statements for the fiscal year ending on 31/12/2023G.

3. Vote on the company’s auditor’s report for the fiscal year ending on 31/12/2023G.

4. Vote on the appointment of the company’s auditor for fiscal year 2024G and 2025G.

5. Vote to absolve the Board of Directors from legal liability for the fiscal year ending on 31/12/2023G.

6. Vote on authorizing the Board to distribute interim profits for fiscal year 2024G.

7. Vote on disbursing a reward of SAR 3,500,000 for the Board of Directors for fiscal year 2023G.

8. The General Assembly will also vote on various business contracts: Lease agreement with Al Nahdi Company for Commercial Investments – SAR 700,000.

9. Lease agreement with Al Nahdi Company for Commercial Investments – SAR 300,000.

10. Lease agreement with Al Nahdi Company for Commercial Investments – SAR 350,000.

11. Lease agreement with Red Sea Limited Company – SAR 1,050,000.

12. Maintenance services contract with Al Mahmal Facilities Services Company – SAR 937,398.

13. Goods transportation services contract with Al-Nahdi for Transportation Company – SAR 6,419,898.

14. Exchange of services contract with Al-Rajhi Banking and Investment Company – SAR 24,000,000.

15. Medical analysis services contract with Ray Al-Alam Medical Company – SAR 178,456.

Shareholders are encouraged to vote remotely through the electronic voting service on the Tadawulaty website (www.tadawulaty.com.sa). Registration and voting are free for all shareholders, starting from May 24, 2024, at 1:00 am and ending at the conclusion of the General Assembly.
