Almoosa Health Co. announced on Tuesday the opening of nominations for membership on the company’s Board of Directors for the upcoming four-year term, which will begin on October 1, 2025, and end on September 30, 2029.
According to the company’s statement on Tadawul on May 27, 2025, the nominations will be conducted in accordance with the provisions of the Companies Law, its implementing regulations issued by the Ministry of Commerce, the Corporate Governance Regulations issued by the Capital Market Authority, and the company’s Policy for Standards and Procedures for Board Membership.
The election of board members for the next term will take place at the shareholders’ General Assembly Meeting, the date of which will be announced later after obtaining the necessary approvals from the relevant authorities.
The company explained that the number of board members will be nine and that the nomination period, which opened today, Tuesday, will continue until June 27, 2025.
Policy and Criteria for Nomination:
Each shareholder has the right to nominate themselves or one or more persons, whether shareholders or non-shareholders, for board membership, provided that the nominee meets the membership requirements stated in the relevant laws and regulations, as well as the criteria for board membership in accordance with the company’s Policy of Standards and Procedures for Board Membership (attached). The following requirements must be fulfilled:
1. Submission of a nomination notice form expressing the nominee’s intent to run for board membership in both Arabic and English.
2. Submission of Form No. (1) and Form No. (3) issued by the Capital Market Authority in both Arabic and English.
3. Review and acknowledgement of the Board Nomination Standards and Policy, the company’s Corporate Governance Regulations, and the related policies.
4. Submission of all documents related to the nomination application for board membership.
