BCI Approves Appointment of Jassim Al Rumaihi as Member of Audit Committee

Basic Chemical Industries Co. (BCI) announced on Thursday the results of its Extraordinary General Assembly meeting (first meeting), where the following resolutions were approved:

1. Approval of the Board’s decision to appoint Dr. Jassim Shaheen Al Rumaihi, an independent member from outside the Board, as a member of the Audit Committee starting from June 10, 2024, until the end of the current committee’s term on June 15, 2025. Dr. Al Rumaihi replaces Mr. Aziz Al Qahtani, also an independent member from outside the Board. The appointment is effective from June 10, 2024, in accordance with the Audit Committee’s regulations.
2. Approval of the amendment to the Audit Committee’s working regulations.
3. Approval of the amendment of the Nominations and Remuneration Committee’s work regulations.
4. Approval of amendments to the policies, standards, and procedures for Board of Directors membership.
5. Approval of the amendment of the remuneration regulations for Board members and senior executives.
6. Approval of amendments to the company’s articles of association to align with the new corporate system, including the re-arrangement and renumbering of the articles.
7. Approval of the amendment of Article (20) of the company’s Articles of Association related to Board Meetings.
