Al-Babtain General Assembly Elects 9 Members to Board of Directors

Al-Babtain Food Company announced on Sunday the results of the Ordinary General Assembly meeting (first meeting), which included approving the election of nine members to the Board of Directors.

Voting Results:

1-The Board of Directors’ report for the financial year ending on 31/12/2023 was reviewed and discussed.

2- The financial statements for the fiscal year ending on 31/12/2023 were reviewed and discussed.

3- Approval of the company’s auditor’s report for the financial year ending on 31/12/2023 AD after discussing it.

4- Approval of the appointment of RSM United Accountants for Professional Consultations from among the candidates based on the recommendation of the Audit Committee, in order to examine, review and audit the quarterly and annual financial statements for the fiscal year 2024 and determine His fees are set at 175,000 riyals.

5- Approval to discharge the members of the Board of Directors from their liabilities for the year ending 31/12/2023.

6- Approval of the Board of Directors’ recommendation to distribute cash dividends in the amount of (1,700,000) riyals to shareholders for the first half of 2023, at (0.5 riyals) per share and at a rate of 5% of the capital, provided that the eligibility is for shareholders who own shares at the end of trading. The day of the General Assembly and those registered in the company’s shareholder register with the Securities Depository Center Company at the end of the second trading day following the maturity date, provided that the distribution date is Wednesday, 12/06/2024.

7- Approval of authorizing the Board of Directors to distribute interim dividends to shareholders on a semi-annual or quarterly basis for the fiscal year 2024.

8- Approval of the election of members of the Board of Directors from among the candidates for the session that begins on 24/02/2024 and lasts for three years, ending on 23/02/2027 AD. delusion :
