May 6: Aramco GA to vote on BOD member election

Saudi Aramco’s Board of Directors invited shareholders to attend and vote at the Extraordinary General Assembly Meeting (first meeting) scheduled for May 6, 2024.

According to the company’s statement on Tadawul, the terms of the association will be as follows:

1- Reviewing the Board of Directors’ report for the financial year ending December 31, 2023 AD and discussing it.

2- Review and discuss the financial statements for the fiscal year ending on December 31, 2023.

3- Discussing the auditor’s report for the fiscal year ending December 31, 2023.

4- Voting on the election of members of the Board of Directors for the new session, starting on July 1, 2024 AD and for a period of 3 years ending on June 30, 2027 AD.

5- Voting on amending Article (Sixteen) of the company’s bylaws, related to appointing an alternative member to the Board of Directors.

6- Voting on amending Article (Eighteen) of the company’s bylaws, related to the remuneration of board members.

7- Vote on amending Article (Twenty-Two) of the company’s bylaws, related to the deliberations and decisions of the Board of Directors.

8- Vote on amending Article (Twenty-Six) of the company’s bylaws, related to calling for a general assembly.

9- Voting on amending Article (Thirty-Two) of the company’s bylaws, related to the agenda of the General Assembly (attached).

10- Vote on amending Article (Thirty-Seven) of the company’s bylaws, related to the financial statements, the Board of Directors’ report, and the auditor’s report.

11- Voting on amending Article (Forty-one) of the company’s bylaws, related to the responsibilities of board members.

12- Voting on amending Article (Forty-Four) of the company’s bylaws, related to the rights of shareholders to file a lawsuit against the company or the Board of Directors.
