ALDAWLIAH announces opening of nominations for BOD membership

The International Company for Human Resources announced on Sunday the opening of nominations for membership in the company’s Board of Directors for the next session, starting December 26, 2023, for a period of four years. Nomination for membership in the Board of Directors shall be in accordance with the provisions contained in the Companies Law, the Corporate Governance Regulations issued by the Capital Market Authority, and the provisions of the Company’s Bylaws. Note that nominations open on October 08, 2023, and end on November 8, 2023.

Application Requirements:

1- Submit an application signed by the candidate expressing his desire to run for membership in the Board of Directors (attached).

2- Complete Form No. (1) of the CV of the candidate for membership in the Board of Directors (attached).

3- Complete Form No. (3) Disclosure of the Candidate for Board Membership (attached).

4- A statement of the boards of directors of joint-stock companies and committees in which the candidate has previously been a member, their history and membership status, as well as a statement of the boards of directors of joint-stock companies and committees in which the candidate is still a member and membership status.

5-A statement of the companies or institutions in which the candidate participates in ownership or management and which engage in activities similar to those of the company.

6-The candidate who previously served as a member of the Board of Directors of the International Company for Human Resources must attach to the nomination notice a statement from the company’s management about the last session in which he held membership in the Board, including the following information:

A- The number of Board of Directors meetings held in each year of the term, the number of meetings attended by the member in person, and his attendance percentage to the total number of meetings.

B- The permanent committees in which the member participated, the number of meetings held by each of those committees during each year of the session, the number of meetings the member attended, and the percentage of his attendance to the total number of meetings.

7- The membership status must be clarified, i.e. whether the applicant is an executive member, a non-executive member, or an independent member.

8-Attach a clear and valid copy of the national ID card and family card (for Saudis) or resident ID and passport (for non-Saudis), in addition to the candidate’s contact numbers.

The Remuneration and Nominations Committee will study the applications received by the candidates based on what is stipulated in Articles Sixty-Two and Sixty-Three of the Corporate Governance Regulations issued by the Capital Market Authority.

Voting in the General Assembly for the new session of the Board is limited to candidates who meet the conditions, controls and standards set forth in this announcement, noting that cumulative voting will be used to elect members of the Board of Directors.
