‎“SABIC” amends GA date, agenda to be April 13th from April 10th

The Saudi Basic Industries Corporation “SABIC” announced changing the date of the Ordinary General Assembly meeting (the first meeting) to be on Thursday evening 09/22/1444 AH corresponding to 04/13/2023 AD instead of the date of 09-19-1444 corresponding to 04-2023 10.

The following item has been added:

– To vote on the decision of the Board of Directors to appoint Eng. Abdul Rahman bin Saleh Al-Faqih (executive member) in the vacant seat in the Board of Directors, as of March 21, 2023 AD, to complete the current session of the Board, which ends on April 9, 2025 AD. (Form No. 1 is attached).

– To vote on authorizing the Board of Directors to distribute interim profits on a semi-annual or quarterly basis for the fiscal year 2023 AD, and to determine the maturity and disbursement date in accordance with the executive regulations of the companies’ system for listed joint-stock companies, in proportion to the company’s financial position, cash flows, and expansion investment plans.

– Voting on the company’s auditors’ report for the fiscal year ending on 12/31/2022 AD.

– Reviewing and discussing the report of the Board of Directors for the fiscal year ending on 12/31/2022.

– To vote on the appointment of an external auditor from the candidates based on the recommendation of the Audit Committee, in order to examine, review and audit the financial statements for the second, third and annual quarters of the fiscal year 2023 AD and the first quarter of the year 2024 AD and determine his fees.

– Voting to absolve the members of the Board of Directors from liability for the fiscal year ending on 12/31/2022.

Each shareholder registered in the company’s shareholder register at the Depositary Center (Edaa) at the end of the trading session that precedes the meeting of the General Assembly has the right to attend the meeting of the General Assembly according to the rules and regulations.
