‎“Future Care” opens candidacy for membership of BOD to fill ‎new seats

The Future Care Commercial Co. announced opening the door for candidacy for membership of the Board of Directors for the current term, which began on 04/04/2021 AD and ends on 04/03/2026 AD, for the new seats that arose after the last amendment to the company’s bylaws and approved by the assembly The Extraordinary General Assembly dated 06/12/1444 AH corresponding to 01/05/2023 AD, which included the approval of amending Article (15) of the company’s articles of association regarding the company’s management, so that the number of members of the Board of Directors became (5) members instead of (3) members. The results of the work of the Extraordinary General Assembly were published on 06/15/1444 AH corresponding to 01/08/2023 AD.

Candidacy for membership of the Board of Directors shall be in accordance with the provisions contained in the Companies Law issued by the Ministry of Commerce and the Corporate Governance Regulations issued by the Capital Market Authority, in addition to policies, standards and procedures for membership in the Board of Directors.

The two nominated members will be elected during the next General Assembly meeting, whose date will be announced later, after obtaining the necessary approvals from the relevant authorities.

Candidacy Conditions First: Candidacy Conditions for Board Membership:

1. Fulfilling the standards set forth in the Board Membership Policy approved by the Board of Directors. (attached).
2. The nominated member should not be a member of more than five listed joint stock companies at the same time
