Saudi Top for Trading Co. announces to Invites its Shareholders to Attend the (First Meeting) Extraordinary General Assembly Meeting in the Company’s headquarters, Riyadh, Al-Kharj Road – through modern technology on 31/01/2023.

The Extraordinary General Assembly shall be valid if attended by shareholders representing at least half (50%) of the capital according to Article (33) of the Articles of Association.
General Assembly Meeting Agenda:
1- Voting on the Board of Directors’ recommendation to distribute cash dividends in the amount of 14,400,000 SAR to shareholders (except for the shareholder Abdullah Mohammad Alajmi who waived profits) for the financial period (12-31-2022 AD), at (12) riyals per share, at a rate of 120% of the value Nominal, provided that the eligibility is for shareholders who own shares at the end of trading on the day of the General Assembly convening and who are registered in the company’s shareholder register with the Securities Depository Center Company (Depository Center) at the end of the second trading day following the due date, provided that the distribution of profits begins on 05-02-2023.
2- To vote on amending the first article of the company’s bylaws, related to (transformation).
3- To vote on amending Article 2 of the company’s bylaws, related to (company name).
4- To vote on the decision of the Board of Directors to appoint Eng. Omar Abdullah Al-Khorashi as an (independent) member of the Board of Directors, starting from the date of his appointment on 04-01-2023 AD to complete the session of the Board until the date of the end of the current session on 20-11-2024 AD, to succeed the previous member, Eng. Salem Eid Alotaibi (independent).
5- To vote on authorizing the Board of Directors to distribute interim profits on a quarterly or semi-annual basis for the fiscal year 2023.
6- To vote on delegating the Board of Directors with the powers of the Ordinary General Assembly with the authorization contained in Paragraph (1) of Article 71 of the Companies Law, for a period of one year from the date of approval of the Ordinary General Assembly or until the end of the session of the delegated Board of Directors, whichever is earlier, in accordance with the conditions mentioned in Regulatory controls and procedures issued in implementation of the Companies Law for listed joint stock companies.
Shareholders registered in the Tadawulaty service (www.tadawulaty.com.sa) are entitled to vote electronically on the Assembly’s items for the Extraordinary General Assembly meeting, which will start on 27-01-2023 at 1:00 am until the end of Assembly meeting time on 31-01-2023, noting that registration in the Tadawulaty service and voting is available free of charge to all shareholders registered on that date.
