Saudi Tadawul Group GA to vote on BOD member election

The Board of Directors of Saudi Tadawul Group Holding Co. (“The Group”) is pleased to invite the Group’s respected shareholders to participate and vote in the Ordinary General Meeting (First Meeting), which will be on 28/12/2022 Corresponding to 04/06/1444 AH via modern technology.

 “Tadawul Group” stated in a statement, today, Monday, that the agenda of the General Assembly includes voting to elect members of the Board of Directors from among the candidates for the next session, which starts from the date of 01/02/2023 AD and lasts for three years as it ends on 01/01/2026 AD.

In reference to clause (31) of Saudi Tadawul Group bylaws, the Ordinary General Assembly meeting shall be valid only if attended by shareholders representing at least one-quarter of the capital. If such quorum is not attained in the first meeting, a second meeting shall be held one hour after the lapse of time set for the first meeting. The second meeting shall be valid if attended by a number of shareholders representing an undefined amount of capital.

The shareholders may remotely vote on the Ordinary General Assembly Meeting’s agenda via (E-voting service) through Tadawulaty website www.tadawulaty.com.sa The remote voting will start on Saturday, 30/05/1444 AH Corresponding to 24/12/2022 at (1:00) AM, and the voting will end once the Ordinary General Meeting ended. Please note that registration in Tadawulaty service and voting is provided free of charge.

Eligibility for registering the attendance of the General Assembly’s Meeting ends upon the start of the General Assembly’s Meeting. Eligibility for voting on the meeting agenda items ends upon the votes counting conclusion by counting committee.
