The Board of Directors of GASCO invited our valued shareholders to participate and vote in the meeting of the Ordinary General Assembly (the First Meeting) in attendance and through modern technological means scheduled to be held on Thursday, 10-11-2022.
Each shareholder registered in the Company’s Shareholders Register with the Securities Depository Center Company (“Edaa”) at the end of the discussion session prior to the meeting of the General Assembly shall be entitled to register attendance electronically, and to vote through “Tadawulaty” platform during the meeting in accordance with the laws and regulations.
The meeting of the Ordinary General Assembly shall be valid if it is attended by shareholders representing at least one quarter of the capital, and in case of lack of quorum for such meeting, the second meeting shall be held an hour after the expiration of the meeting’s term. It will be valid regardless of the number of shares represented in the meeting.
General Assembly Meeting Agenda:
1- To vote on the election of the members of the Board for the new session commencing on 29/11/2022 and for a period of three years ending on 28/11/2025 in accordance with the list of candidates.
2- To vote on the delegation of the Board of Directors for the new session commencing on 29/11/2022 with the validity of the Ordinary General Assembly under the authorization in clause (1) of article 71 of the Companies Law for one year from the date of approval by the Ordinary General Assembly or until the end of the session of the Delegated Board whichever is earlier. This is in accordance with the conditions set out in the controls and procedures of the listed Joint Stock Companies issued pursuant to the Companies Law.
The registered shareholders of “Tadawulaty” Services will be entitled to vote remotely on the items of the Assembly from Sunday, 06-11-2022 until the end of the Assembly’s meeting.
The eligibility to register the attendance of the meeting of the Assembly expires at the time of the Assembly’s meeting. The attendee’s eligibility to vote on the Assembly’s items expires upon the completion of the counting of votes by the canvassing committee.
The shareholder may authorize another non-BoD member, GASCO employees or persons in charge individual on its behalf, in a permanent manner, with a technical or administrative task for its interest, to attend the meeting and vote on the resolutions presented as per the authorization. Shareholders registered with Tadawulaty” services website shall be notified via a text message illustrating the participation mechanism in discussions of the General Assembly meeting.
