Banque Saudi Fransi General Assembly Approves Election of 10 members to BOD

The Board of Directors of Banque Saudi Fransi (BSFR) announced on Thursday the results of the Ordinary General Assembly’s Meeting (1st Meeting) which was held on Wednesday 08.12.2021 by personal attendance and through the modern technology means and the Percentage of Attending Shareholders was 75.98.

Voting Results on the Items of the General Assembly’s Meeting Agenda’s:

• Approve electing members of the Board of Directors from among the candidates for the next Board term, which starts on 01.01.2022 for a term of three years, and ends on 31.12.2024, and the following are the elected members:

4. Abdulrahman Rashed Al-Rashed
5. Bader Abdullah Al Issa

• Approve the formation of the Audit committee, defining its tasks, its Charter, and remuneration for its members for the next term, which starts on 01.012022 , for a term of three years, and ends on 31.12.2024, and their names are:

• Mamdoh Sulaiman Al Majed
• Khalid Dawood Al Faddagh

• Approve the standards for the participation of a member of the Board of Directors in a business that would compete with the bank or any of its activities.
• Approve amending the Remuneration and Compensation Policy for Board, Board Committees and Senior Executives.
• Approve amending the Corporate Social Responsibility Policy.
• Approve amending Board Nomination Membership Assessment and Succession Policy.
