Tharwah GA To Discuss Interim Dividend Distribution for 2025 on June 19

The Board of Directors of Tharwah Human Resources Company has invited on Tuesday its esteemed shareholders to participate and vote in the Ordinary General Assembly Meeting (first meeting), scheduled to be held via modern technology at 20:30 on Thursday, June 19, 2025.

Agenda:

1. Vote on the auditor’s report for the fiscal year ending December 31, 2024, after discussion.

2. Review and discuss the Board of Directors’ report for the fiscal year ending December 31, 2024.

3. Review and discuss the company’s financial statements for the fiscal year ending December 31, 2024.

4. Vote on the discharge of the Board of Directors’ members from liability for the fiscal year ending December 31, 2024.

5. Vote on the appointment of the company’s external auditor from among the nominees, based on the recommendation of the Audit Committee, to examine, review, and audit the company’s annual financial statements for the year ending December 31, 2025, and the semi-annual financial statements for the period ending June 30, 2025, and to determine their fees.

6. Vote on authorizing the Board of Directors to distribute interim dividends (semi-annual or quarterly) to shareholders for the fiscal year ending December 31, 2025.

7. Vote on authorizing the Board of Directors with the powers of the Ordinary General Assembly as stipulated in paragraph (1) of Article 27 of the Companies Law, for a period of one year from the date of the General Assembly’s approval or until the end of the delegated Board term, whichever comes first, in accordance with the conditions set forth in the Implementing Regulations of the Companies Law for listed joint-stock companies.

8. Vote on allowing Board member His Excellency Eng. Osama Abdulaziz Abdullah Al-Zamil to participate in a business competing with the company’s business.

9. Vote on the amendment of the Audit Committee Charter.

10. Vote on the Policy of Standards and Controls for Competition.

Electronic voting on the assembly agenda items will begin at 1:00 AM on Sunday, June 15, 2025, and continue until the end of the assembly.
