SGS Appoints Khaled Al Buainain as Chairman of BOD, Omar Jefri as Vice-Chairman

The Saudi Ground Services Company (SGS) announced on Sunday the Board of Director’s decision dated 06.05.2022. To appoint Chairman and Vice-Chairman of the Board of Directors, forms the committees, Board Secretary, and appoints Company’s representatives before the Capital Market Authority & Tadawul, as follows: –

First: Electing Chairman, Vice Chairman, and Secretary of the Board of Directors as follows:

1. Khalid Q. Al Buainain (Chairman of the Board of Directors).
2. Omar A. Jefri (V. Chairman of the Board).
3. Mazen G. Dhaifallah (Secretary of the Board).

Second: Formation of the Executive Committee with the following Members:

1. Khalid Q. Al Buainain (Independent – Chairman of the Committee).
2. Omar A. Jefri (Independent – V. Chairman).
3. Fahd H. Cynndy (Non-Executive – Member).
4. Per Utnegaard (Independent – Member).
5. Saeed A. Al Hadrami (Independent – Member).

Third: Formation of the Nomination & Remuneration Committee with the following Members:

1. Ghada A. Al Jarbou (Independent – Chairman of the Committee).
2. Fahd H. Cynndy (Non-Executive – Member).
3. Saeed A. Al Hadrami (Independent – Member).

Fourth: Representatives of the company have been appointed to represent the company before the Capital Market Authority and Tadawul for all purposes related to compliance with the Capital Market Regulations

1. Omar A. Jefri (V. Chairman of the Board).
2. Raed H. Al-Idrissi (CEO)
3. Mazen G. Dhaifallah (Vice President Corporate Affairs).

It’s worthy to mention that the Audit Committee members have been appointed by shareholders in the Ordinary General Assembly meeting, which was held on Wednesday 09.03.2022.
